Terms of Service

THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT (HEREINAFTER “YOU” OR “YOUR”) AND VIGGO SOFTWARE GMBH (HEREINAFTER “VIGGOTECH”) GOVERNING YOUR USE OF VIGGOTECH'S SUITE OF CLOUD-BASED BUSINESS APPLICATIONS AND SOFTWARE SERVICES.

Parts of this Agreement
This Agreement includes the following terms and conditions (the “General Terms”) as well as any product-specific terms (the “Service-Specific Terms”) applicable to the use of individual services. In case of a conflict between the General Terms and any Service-Specific Terms, the latter shall take precedence for the relevant Service.

Acceptance of the Agreement
You must be of legal age and capacity to form a binding contract in order to accept this Agreement. If you do not accept the General Terms, do not access or use any of our Services. If you accept the General Terms but disagree with any Service-Specific Terms, do not use the corresponding Service. You acknowledge acceptance of this Agreement either by checking a box, clicking an acceptance button, or by using the Services.

Description of Service
Viggotech delivers a suite of secure, scalable cloud applications and digital tools to help businesses optimize operations, manage workflows, and enhance productivity ("Service" or "Services"). You may use the Services for your own internal business purposes or as part of the entity you represent. The Services can be accessed through modern web browsers and supported mobile platforms. You are responsible for maintaining Internet access and compatible hardware to operate the Services. Through your account, you may create, modify, publish, and share content within the limits of your chosen subscription plan.

Beta Service
From time to time, we may offer Services under closed or open beta programs (“Beta Services”) for experimental use and evaluation. The length, scope, and nature of the beta phase will be determined solely by Viggotech. Viggotech retains full discretion regarding the progression of Beta Services to full release or their discontinuation. Participation in any Beta Service does not oblige you to purchase any paid plan, nor does it guarantee future access. We reserve the right to alter, suspend, or cancel Beta Services at any time, with or without notice. Viggotech shall not be held liable for any outcome related to the performance, reliability, or availability of Beta Services during the test phase.

Free Trial
By registering for a free trial, you will receive temporary access to selected Viggotech Services at no cost, effective until: (i) the end of the stated trial period unless you cancel earlier; (ii) the commencement of your paid subscription; or (iii) early termination by Viggotech at its discretion. Any content or custom configurations made during the free trial may be permanently lost unless you: (i) upgrade to a paid plan; (ii) purchase additional features; or (iii) export your data before the trial ends. All trial access is provided strictly “as-is” with no warranties, technical support, or liability of any kind.

User Sign-up Obligations
To use our Services, you must register for a user account with accurate and complete information. If you are registering on behalf of an organization, we recommend using corporate credentials and your organizational email. You agree to: (i) provide truthful, current, and complete data during registration, and (ii) promptly update this information as needed. If Viggotech determines that your registration information is false, incomplete, or misleading, we reserve the right to terminate your account and restrict access to our Services.

Restrictions on Use
By using Viggotech Services, you agree not to:

  1. Resell, sublicense, or share the Services with unauthorized third parties.
  2. Provide services based on the Viggotech platform without explicit written consent.
  3. Share user licenses between multiple individuals, except via reassignment.
  4. Disassemble, reverse engineer, or decompile any part of the Services, unless permitted by applicable law.
  5. Use third-party websites through links within the Services without adhering to their terms.
  6. Post third-party content or brand assets without prior permission.
  7. Attempt unauthorized access to our infrastructure or data systems.
  8. Interfere with system performance, overload resources, or degrade service integrity.
  9. Introduce malicious code, scripts, or exploits into the system.
  10. Disrupt, alter, or attempt to compromise the security or performance of the Services.
  11. Use misleading identities or impersonation tactics in communications.
  12. Upload or share data that you don’t have permission to distribute, including private or sensitive information of others.
  13. Distribute deliberately false or defamatory information for personal gain or to cause harm.
  14. Violate any applicable laws or regulations.
  15. Use the Services for competitive analysis, reverse benchmarking, or similar purposes.
  16. Alter or hide proprietary notices or copyright statements.

Spamming and Illegal Activities
You are solely responsible for the content you transmit through our Services. Use of the Services to transmit illegal, defamatory, abusive, obscene, invasive, racist, threatening, or infringing content is strictly prohibited. This includes spam, unsolicited mass emails, chain letters, phishing, and malware distribution. Any such misuse will result in immediate termination of your access and may result in legal action.

Third Party Applications
Viggotech Services may include integrations with external platforms and tools (“Third Party Applications”). These are governed by their own terms and privacy policies (“Third Party Terms”). You are responsible for reviewing and understanding these terms prior to use. Viggotech is not responsible for any loss, damage, or issue arising from the use of Third Party Applications, and reserves the right to suspend or discontinue any integration at any time without liability or notice.

Fees and Payments
Viggotech Services are offered under a variety of subscription tiers. Plans shorter than one year may require payment via credit card. Subscriptions auto-renew unless you explicitly downgrade or cancel before renewal. Renewal fees will be charged to your last used payment method unless you update your billing details. To avoid renewal, notify us at least 7 days before your term ends. If no action is taken, you authorize Viggotech to charge the renewal fee to your saved payment method.
Pricing is subject to change. However, changes will not apply to your current billing period. You won’t be charged unless you opt into a paid plan.
If applicable local, regional, or international taxes (e.g., VAT, GST, or sales tax) are required for your jurisdiction, these will be added to your invoice. You agree to pay all relevant taxes in addition to subscription charges. Viggotech will provide proper tax-compliant documentation to facilitate input credit claims where permitted by law.

Organization Accounts and Administrators
When you create an account with Viggotech for your organization, you may designate one or more administrators. These administrators will be empowered to configure services according to your internal requirements and manage user access across your organization. If a third party sets up your organization account on your behalf, they may assume administrator rights unless otherwise restricted. It is your responsibility to establish a formal agreement with such third parties outlining their role and limitations as administrators of your organizational account.
You are solely responsible for:
(i) Keeping your organization account credentials secure.
(ii) Appointing capable individuals as administrators.
(iii) Ensuring all actions within your organization account comply with this Agreement.

Viggotech is not accountable for the internal administration or governance of your organization account.
You must take proactive steps to prevent loss of access to administrator accounts. You may submit a formal process for administrator account recovery by contacting legal@viggotech.io. If no recovery procedure is defined, Viggotech may, at its discretion, grant administrative access to an individual who provides valid documentation of authorization. Viggotech is not liable for any outcomes arising from such good-faith decisions.

Personal Information and Privacy
Any personal data you submit through Viggotech’s Services is governed by our Privacy Policy. By using our Services, you consent to the terms outlined in the Viggotech Privacy Policy. You are responsible for maintaining the confidentiality of your login credentials and are liable for all activities under your account. Notify us immediately at support@viggotech.io of any unauthorized access or use of your account. Viggotech will not be held liable for any damage or loss resulting from unauthorized access.

Communications from Viggotech
You may receive communications from Viggotech, such as service alerts, administrative messages, and newsletters. These communications are essential to the functionality and operation of the Services. While you may opt out of newsletters, you cannot opt out of essential service communications.
Complaints
If Viggotech receives a complaint related to your account’s activities, we will forward it to your registered email. You are required to respond directly to the complainant within 10 days, copying Viggotech into your reply. Failure to respond within this timeframe will be considered consent for Viggotech to share your contact details with the complainant to facilitate legal proceedings.

Inactive User Accounts Policy
Viggotech reserves the right to deactivate unpaid accounts that remain inactive for 120 consecutive days. In such cases, all associated data will be permanently deleted. Prior notice will be provided, including an option to export your data. Each Service is treated separately—activity in one Service doesn’t preserve activity in another. For organization accounts, at least one active user will keep the account active.

Data Ownership
You retain full ownership of all content you create or store using Viggotech Services. We will never use your data for marketing, commercial, or promotional purposes without your explicit permission. However, you grant Viggotech limited rights to process, transmit, and store your content only as needed to provide the Services.

Hosting Location
Your account will be hosted in a data center mapped to your geographic region at the time of registration. IP masking is prohibited as it may interfere with correct regional allocation. If it’s later discovered your true location differs, Viggotech may move your account or require migration to a compliant facility, or in some cases, terminate service. If Viggotech maintains an office in your region, we may store a local copy of your data to meet legal obligations.

User Generated Content
You may publish or share content using our Services, but you are solely responsible for what you distribute and its consequences. Public content may be indexed by search engines and made globally accessible. You must ensure private data isn’t accidentally shared publicly. If you receive content from others, it is provided "as-is," and you must not reproduce or exploit it without permission.
By publishing content, you affirm that you own or have the legal right to share it. If any content is flagged for illegality or rights violations, Viggotech may block or remove it without prior notice. Disputes regarding blocked content must follow our designated appeal process.

Sample Files and Applications
Viggotech may include sample applications or files to demonstrate features. These samples contain random data and are provided without warranty. We do not guarantee their accuracy, completeness, or applicability.

Trademark
"Viggotech," the Viggotech logo, and product/service names are registered trademarks of Viggo Software GmbH. You may not use any Viggotech trademarks without prior written authorization.

Disclaimer of Warranties
YOU ACKNOWLEDGE THAT YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. VIGGOTECH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH OUR SERVICES IS AT YOUR OWN RISK, AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICES OR LOSS OF DATA RESULTING FROM SUCH USAGE. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, FROM VIGGOTECH OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

Limitation of Liability
YOU AGREE THAT VIGGOTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER COMMERCIAL DAMAGE OR LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF VIGGOTECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL VIGGOTECH’S TOTAL LIABILITY TO YOU, FOR ALL CLAIMS RELATING TO ANY SERVICE, EXCEED THE GREATER OF ONE THOUSAND U.S. DOLLARS ($1000) OR THE AMOUNT YOU PAID FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE INCIDENT THAT GAVE RISE TO THE LIABILITY.

Indemnification
You agree to indemnify and hold harmless Viggotech, its directors, officers, employees, partners, and affiliates, from any claims, losses, liabilities, damages, penalties, and expenses (including legal fees) arising from your use of the Services, violation of this Agreement, infringement of third-party rights, or any breach of applicable laws.

Governing Law and Jurisdiction
This Agreement is governed by the laws of the jurisdiction corresponding to your billing address (if a paying customer) or your country of residence (if a free user), excluding its conflict of laws principles. You consent to the exclusive jurisdiction and venue of the courts located in that jurisdiction for the resolution of any disputes arising from or related to this Agreement.

Suspension and Termination
Viggotech reserves the right to suspend or disable your account, wholly or in part, in cases of suspected illegal use, prolonged inactivity, or as required by regulatory or legal authorities. You may contest the suspension by contacting legal@viggotech.io within thirty (30) days of notice. Failure to resolve the issue may result in permanent termination.
We may also terminate access at our discretion if we believe this Agreement has been violated, or due to technical limitations or discontinuation of Beta Services. If you terminate due to a breach by Viggotech, you are eligible for a prorated refund of any prepaid fees. Termination includes revoking access, deleting your login data, and removing all account content.

Modification of Terms of Service
We may amend this Agreement at any time with notice to you via email or a service announcement. If material changes are made, you will receive thirty (30) days' notice. You may cancel your account within this period if you disagree with the changes and will be entitled to a prorated refund for unused prepaid services. Continued use of the Services after the effective date signifies your agreement to the revised terms.
